Terms of sale

Terms of Sale

Last updated: 6 November 2026

Which version applies to you? This English version applies to orders from customers whose billing country is outside France. Orders from customers in France (metropolitan France, overseas departments and overseas collectivities) and in Canada are governed by the French version (conditions générales de vente), which has the same substance (article 1).

1. Purpose and scope

These general terms of sale (the “Terms”) govern the sale, by the publisher of Tacitum (the “Seller”: Guillaume DUPONT MEUNIER, sole trader (entreprise individuelle) trading as Tacitum, Caen, France, SIREN 106 355 761, contact@tacitum.tools; full details in the legal notice (in French)), of licences to use the Tacitum software (the “Software”) and, as an option, of the AI Connector (article 8), to any person making a purchase (the “Customer”).

Placing an order implies unreserved acceptance of these Terms. They apply both to Customers who are consumers (individuals acting for purposes outside their trade, business or profession) and to business Customers. Clauses specific to each category are indicated where relevant.

These Terms are the English version of the Seller's general terms of sale, drawn up in French (conditions générales de vente); both versions have the same substance and the same article numbering. The version binding on the Customer is determined by the billing country or territory stated when ordering. This English version is binding where the billing country is outside France, other than Canada. The French version is binding where the billing country or territory is France (metropolitan France, overseas departments and overseas collectivities) or Canada (Charter of the French Language of Québec, section 55); in those cases, this English version is a courtesy translation only and, in the event of any discrepancy, the French version prevails. The mandatory consumer protection rules of the Customer's country of residence, including any language requirements, remain unaffected. A summary of the key points is available for information in Spanish, German and Italian (español, Deutsch, italiano).

2. The Software

Tacitum is desktop software for Windows that replaces the personal data contained in documents with typed labels, entirely locally on the Customer's computer. The document produced contains no correspondence table: it is irreversible for whoever receives it. Its characteristics (supported formats, features) are described on the website on the date of the order.

The Software offers a “Restorable mode” (“Recover my values”), enabled by default, which the Customer can disable at any time. When it is active, an encrypted correspondence table is kept only on the Customer's computer (linked to their Windows account), deleted automatically and never transmitted to the Seller or to any third party. This table remains under the Customer's sole control and does not change the irreversible nature of the shared document.

An assistance tool: no automatic guarantee of compliance. Tacitum helps to detect and mask personal data, but no automated tool can guarantee that the result is exhaustive for every document. The quality of the anonymisation depends on the content of each file. For scanned documents (photos, image-only PDFs), the quality of recognition also depends on that of the scan (resolution, contrast, orientation, sharpness); recognition takes place locally and is optimised for documents written in French or English, and imperfections may remain. The Customer remains solely responsible for checking the documents produced before any distribution, in particular in sensitive cases. Tacitum is a tool made available to the Customer; it does not constitute legal advice and does not guarantee the Customer's regulatory compliance.

3. Free trial

The Software comes with 10 free conversions, with no sign-up and no payment method, so that the Customer can evaluate the product before any purchase. Beyond that, use requires the purchase of a licence. During the free trial, the AI Connector (article 8) can be used without purchase, within the limit of these same conversions: each document validated and sent to the assistant, and each text entered through this channel that contains masked data, uses one.

4. Prices

Prices are shown in euros (€) on the website's pricing page (licence, licence + AI Connector bundle, and AI Connector alone as an option, see article 8), at the rate in force on the date of the order. The Seller reserves the right to change its prices at any time, it being understood that the applicable price is the one displayed when the order is confirmed.

Prices are shown as final prices, with no VAT added. The Seller operates under the French VAT exemption scheme for small businesses (franchise en base de TVA, article 293 B of the French General Tax Code, the “CGI”): VAT is not applicable and does not appear on the invoice.

Customers established outside France. Prices are net of any French tax (VAT not applicable, as the case may be, under articles 293 B, 259-1° or 259 B of the CGI). For a business Customer, any taxes due in its own country are borne by it (reverse charge where applicable); the Customer gives its VAT number or tax identifier when ordering, which appears on the invoice: without a valid VAT number, a Customer established in another Member State of the European Union is treated, for VAT purposes, as a private individual (VAT not applicable, art. 293 B of the CGI); this does not change its status as a business Customer under these Terms. Sales to private individuals are not open in countries where a tax registration would be required from the first sale (United Kingdom, Isle of Man, Morocco, Senegal); the Seller, which operates under the VAT exemption scheme for small businesses, may also suspend sales to private individuals in a Member State where such sales would require it to register for VAT in that State (Article 4(4) of Regulation (EU) 2018/302).

5. Order and formation of the contract

Orders are placed online. The contract is formed when the Customer confirms their order after accepting these Terms and making payment. For the AI Connector bought on its own, the order is placed from the Software or from the renewal page, which show the price, the end date and a link to these Terms before payment; confirming the payment constitutes acceptance of these Terms. A confirmation e-mail, containing the licence key and download instructions, is sent to the Customer. For the AI Connector, the confirmation e-mail states the end date of the period (article 8).

Country and language of the order. The Customer states their billing country when ordering. In the United Kingdom, the Isle of Man, Morocco and Senegal, sales are reserved for businesses (companies, firms, organisations): the Customer gives the name and address of its organisation and its VAT number or tax identifier / registration number (in the United Kingdom and the Isle of Man: UK VAT number or Companies House number); otherwise the order is not accepted. The payment page, confirmation e-mail, invoice and reminders are written in the language of the order page (or of the Software's interface); the binding version of these Terms depends on the billing country (article 1).

6. Payment

Payment is made online through a secure third-party payment service provider, Mollie B.V. (authorised payment institution, Amsterdam, the Netherlands). The Seller has no access to any full bank details and keeps none; such data is processed exclusively by the payment service provider. The licence is delivered only once payment has actually been received.

An invoice marked as paid is issued by the Seller for each order and sent to the Customer by e-mail, with their licence key (or, for the AI Connector, the end date of the period). A business Customer that gives, when ordering, its company name, its SIREN or SIRET number (French business registration numbers) and its address (and, where applicable, its intra-EU VAT number) receives an electronic invoice made out in the name of its organisation, in the format required by the French electronic invoicing regulations, and transmitted, where its organisation is connected to it, through the network of approved e-invoicing platforms (plateformes agréées; the Seller's approved platform: Super PDP); this information is its responsibility and can no longer be changed once the invoice has been issued. If the invoice could not be attached, the Customer can obtain it on request from contact@tacitum.tools.

7. Licence to use

The Seller grants the Customer a perpetual, personal, non-exclusive and non-transferable licence to use the Software, for the number of users corresponding to the order. A licence covers one user, meaning one Windows session: the Software is installed per Windows account (and not for all users of the machine); a computer shared by several Windows accounts requires one licence per user. The purchase does not transfer any intellectual property right in the Software.

The Customer undertakes not to: resell, rent, lend or redistribute the Software or the licence keys; decompile or disassemble it, or attempt to circumvent its technical measures (except within the limits permitted by law, and without prejudice to the open-source components included in the Software, which remain governed by their own licences, viewable from the Software); use it beyond the number of users acquired.

Activation and licence check

Activating the licence requires a connection to the Seller's licence server on first activation, then only once more about 30 days later (re-check). On these occasions, the key and a technical fingerprint of the Windows session are transmitted in order to link the licence to the user account (on its device) and to prevent fraudulent use. Apart from these checks and the technical exchanges described in the privacy policy (in French) and its summary in English (updates, usage measurement, crash reports sent with the Customer's consent, language packs downloaded at the Customer's request, AI Connector), the Software works offline; processing documents never requires a connection. The processing of this data is described in detail in that policy.

8. AI Connector

The AI Connector is an option added to an active Tacitum Licence on the computer concerned (it can also be tried during the free trial, under the conditions of article 3). It gives access, for one year, to the connection between the Software and the supported AI assistants: the assistant receives the text of the documents anonymised on the Customer's computer, as checked and validated by the Customer; only this text and non-identifying information (anonymised title of each document, format, number of items masked per category) are sent to it. The reservations in articles 2 and 13 apply: the Customer controls what is sent (including the categories they choose to leave unmasked) and remains solely responsible for this check. Assistants supported on the date of purchase: Claude Desktop and Codex Desktop (Windows). The list of supported assistants may change. For organisation licences (Enterprise offer), the AI Connector is ordered on quotation for all the licences, with a single end date, and not individually online; nor is it renewed automatically.

Price and duration

€69 for one year (365 days; no VAT charged, see article 4), payable in one instalment, online, from the Software (left column, “AI Connector…” entry) or from the personal renewal link sent by e-mail as the end date approaches and on expiry. The AI Connector can also be bought together with the Tacitum Licence, in a single order on the website (bundle at €148: Tacitum Licence €79 + AI Connector €69); article 5 applies to this order and the one-year period runs from the activation of the licence on the Customer's computer (article 10), and not from receipt of payment. The licence must be activated within 12 months of receipt of payment for the bundle: after that time, the AI Connector included in the bundle is forfeited, without any refund of its share, the Tacitum Licence remaining acquired. For a purchase from the Software or via the renewal link, the expected end date is displayed before payment and the period runs from receipt of payment or, in the case of an early extension, from the end of the current period. In all cases, the final end date is shown in the Software; it is also stated in the confirmation e-mail, except for the bundle, whose e-mail states the activation deadline. The AI Connector is not renewed automatically: no payment is ever taken without a new purchase by the Customer. As a courtesy, a reminder is displayed in the Software and sent by e-mail 30 days and 7 days before the end date, then on expiry, to the address associated with the licence or, for an organisation licence, to the contact designated by the organisation. The absence of a reminder does not extend the period, the end date remaining visible in the Software. An invoice is issued under the conditions of article 6.

Supply

Bought from the Software or via the renewal link, the AI Connector is activated on the Customer's licence as soon as payment is received; activation is visible in the Software and confirmed by e-mail, with the invoice. Bought in the bundle, the AI Connector is attached to the licence as soon as payment is received, but it is only supplied when the licence is activated on the computer: its end date then appears in the Software; the purchase e-mail, with the invoice, explains how this works and states the activation deadline. No additional key is issued. The AI Connector involves occasional exchanges with the Seller's licence server (purchase, refresh of the end date), described in the privacy policy (point 2.i, in French); the AI assistant is an online service provided by its publisher, to which only the anonymised text validated by the Customer and the non-identifying information mentioned above are sent. The anonymisation engine remains offline.

Compatibility

The AI Connector depends on third-party software and services (in particular those of the publishers of the AI assistants), which change over time. During the period purchased, the Seller provides the updates needed to maintain compatibility with the supported assistants, insofar as these third parties allow it; the unavailability, modification or discontinuation of a third-party service is not the Seller's responsibility. Use of the AI assistant itself (account, terms, pricing) is exclusively a matter between the Customer and the publisher of that assistant.

Right of withdrawal

The AI Connector is digital content supplied without a physical medium. When bought in the bundle, its performance begins, like that of the licence, upon activation of the licence on the computer (article 10): by ticking the box provided for this purpose before paying, the consumer Customer expressly requests this performance from activation and acknowledges losing their right of withdrawal at that moment, for the licence and for the AI Connector alike (article L221-28, 13° of the French Consumer Code, implementing article 16(m) of Directive 2011/83/EU); as long as the licence has not been activated, they retain their right of withdrawal over the whole bundle for 14 days from the purchase, under the conditions of article 10. When bought from the Software or via the renewal link, its performance begins as soon as payment is received, the AI Connector being activated on the licence at that moment (in the case of an early extension, the end date is extended as soon as payment is received): in accordance with article L221-28, 13° of the French Consumer Code, the consumer Customer expressly requests this immediate performance and acknowledges losing their right of withdrawal as soon as payment is received, by ticking the box provided for this purpose before paying. However, in the case of an early extension, the consumer Customer may withdraw within 14 days of payment as long as the new period has not started, under the conditions of article 10.

End

On the end date, the Software continues to work normally; only the connection with the AI assistants is deactivated, until any new purchase. Anonymised documents and local correspondence tables remain on the Customer's computer, according to their retention settings. If a permanent discontinuation of third-party services made the AI Connector unusable with all the supported assistants, the Seller refunds the remaining period pro rata, on request. If an assistant supported on the date of purchase ceased to be supported during the period, the consumer Customer may request a pro rata refund of the remaining period.

9. Delivery

The Software is supplied in digital form: download link and licence key sent by e-mail, immediately or as soon as possible after confirmation of payment. No physical medium is delivered. Supply of the AI Connector, which involves neither key nor download, is covered in article 8.

10. Right of withdrawal

For the AI Connector, the consumer Customer's right of withdrawal is covered in article 8; the rule applicable to business Customers, below, also applies to the AI Connector.

Consumer Customers

In accordance with articles L221-18 et seq. of the French Consumer Code (implementing Directive 2011/83/EU on consumer rights), consumers in principle have 14 days to withdraw.

However, under article L221-28, 13° of the French Consumer Code (article 16(m) of Directive 2011/83/EU), the right of withdrawal does not apply to the supply of digital content not supplied on a physical medium where performance has begun with the consumer's prior express consent and the consumer has acknowledged losing their right of withdrawal. For Tacitum, performance begins upon activation of the licence on the computer: by activating their licence, the consumer expressly consents to immediate performance and acknowledges losing their right of withdrawal.

As long as the licence has not been activated, the Customer retains their right of withdrawal for 14 days from the purchase, over the licence and, where applicable, over the AI Connector in the bundle (article 8); they may exercise it simply by e-mail to contact@tacitum.tools (see “Exercising the right of withdrawal” below). As soon as the licence is activated on the Customer's computer, the withdrawal period ends, for the licence and for the AI Connector in the bundle alike, whose year begins at that moment. As a reminder, the 10 free conversions make it possible to evaluate the product before any purchase.

Business Customers

The right of withdrawal provided for in articles L221-18 et seq. does not apply to contracts concluded between professionals. No right of withdrawal is granted to business Customers, unless otherwise agreed in writing.

Exercising the right of withdrawal (consumer Customers)

Where the right of withdrawal is available (licence not yet activated, bundle whose licence has not yet been activated, early extension of the AI Connector under the conditions of article 8), the consumer Customer informs the Seller of their decision to withdraw before the 14-day period expires, by means of an unequivocal statement, in particular by e-mail to contact@tacitum.tools. They may, but are not obliged to, use the model withdrawal form reproduced below (articles L221-5 and L221-21 of the French Consumer Code and the annex to its article R221-1; Article 11(1) of, and Annex I(B) to, Directive 2011/83/EU). The Seller acknowledges receipt of the withdrawal by e-mail.

The Seller reimburses all payments received for the order or extension concerned by the withdrawal, without undue delay and in any event within 14 days of the day on which it is informed of the Customer's decision, using the same means of payment as the Customer used for the initial transaction, unless the Customer has expressly agreed otherwise, and at no cost to the Customer (article L221-24 of the French Consumer Code; Article 13 of Directive 2011/83/EU). The licence or AI Connector period concerned is then deactivated.

11. Legal guarantees

As the Software is digital content, consumer Customers automatically benefit from the legal guarantee of conformity applicable to digital content and digital services (articles L224-25-1 et seq. of the French Consumer Code, implementing Directive (EU) 2019/770), independently of any commercial guarantee. As the Software is supplied in a single act of supply, the Seller is liable for any lack of conformity which exists at the time of supply and becomes apparent within two years from supply. The AI Connector, supplied continuously during the period purchased, must remain in conformity throughout that period (article L224-25-12 of the French Consumer Code).

In the event of a lack of conformity, the consumer is entitled to have the Software or the AI Connector brought into conformity, free of charge, without significant inconvenience and within a reasonable time from their request, without prejudice to the other remedies provided for by law: failing that, they may obtain a price reduction or termination of the contract, with a refund, in particular where bringing it into conformity is impossible or the Seller refuses or unduly delays doing so, where the lack of conformity persists despite the Seller's attempt, or where it is so serious as to justify an immediate price reduction or termination of the contract (articles L224-25-17 et seq. of the French Consumer Code; Article 14 of Directive (EU) 2019/770), termination not being available where the lack of conformity is minor; they may also claim damages. To exercise the guarantee, they may write to contact@tacitum.tools.

Without prejudice to the legal guarantee of conformity owed to consumer Customers, which can be neither excluded nor limited, the Seller does not guarantee that the Software will be free of all errors or that it will meet a specific need not brought to its attention. With respect to business Customers, and to the extent permitted by law, the Software is supplied “as is”.

12. Updates

Updates to the version purchased (fixes and improvements) are included. Major upgrades (new major version) may be the subject of a separate offer. Compatibility of the AI Connector is covered in article 8.

13. Limitation of liability

This article applies to the extent permitted by law and without prejudice to the rights that consumer Customers derive from mandatory provisions, in particular the legal guarantee of conformity (article 11) and the law of their country of residence (article 16).

The Software is an aid to anonymisation, not a guarantee of result: no automated tool can guarantee the detection of all the personal data present in a given document. It is the Customer's responsibility to read through and check each document produced before any distribution (sending it to a third party or to an AI, publication, etc.). Accordingly, the Seller cannot be held liable for a personal data leak or for any damage resulting from an anonymisation that the Customer did not check sufficiently before distributing the document: the final check and the decision to share remain the Customer's sole responsibility.

Furthermore, the Seller cannot be held liable for indirect damage (loss of business, data or revenue) resulting from the use of, or inability to use, the Software. The Customer is responsible for backing up their files. With respect to business Customers, and to the extent permitted by law, the Seller's liability, for all causes combined, is capped at the amount paid by the Customer for the licence or, for the AI Connector, for the option period concerned. No provision is intended to exclude the Seller's liability in the event of fraud (dol), gross negligence (faute lourde) or personal injury.

14. Personal data

The processing of personal data relating to the website, the purchase and the licence is described in the privacy policy (in French), summarised in English on the summary page. The content of the documents processed by the Software is never transmitted to the Seller.

15. Customer service and consumer mediation

For any question or complaint: contact@tacitum.tools.

In accordance with articles L612-1 et seq. of the French Consumer Code, consumer Customers have the right to use a consumer mediator free of charge with a view to the amicable resolution of a dispute with the Seller. After contacting us first, and if you have not received a satisfactory reply, you may refer the dispute, free of charge, to the following consumer mediation body:

The list of approved mediation and out-of-court dispute resolution bodies is available on the European Commission portal: consumer-redress.ec.europa.eu.

16. Governing law and disputes

These Terms are governed by French law. If the Customer is a consumer habitually resident in a country other than France, this choice does not deprive them of the protection afforded to them by the mandatory provisions of the law of their country of residence (article 6(2) of Regulation (EC) No 593/2008, “Rome I”).

Failing an amicable resolution, consumer Customers may bring proceedings, at their choice, before the competent French courts or those of the place where they are domiciled; the Seller may bring proceedings against a consumer domiciled in another Member State of the European Union only before the courts of that State (article 18 of Regulation (EU) No 1215/2012). For business Customers, the competent French courts have sole jurisdiction.
