1. The seller
Tacitum is the trade name of Guillaume DUPONT MEUNIER, a sole trader (entreprise individuelle) based in Caen, France. SIREN (French business registration number): 106 355 761. Contact: contact@tacitum.tools.
2. What you are buying
- Tacitum licence: a perpetual, personal, non-exclusive and non-transferable licence to use the software, for one user, meaning one Windows session (a computer shared by several Windows accounts needs one licence per user). The software is downloaded and the licence key is sent by e-mail. Updates to the version you bought are included; a new major version may be offered separately.
- AI Connector (optional): one year (365 days) of access, for an active Tacitum licence, to the connection between the software and the assistants supported on the date of purchase (Claude Desktop and Codex Desktop, on Windows; the list of supported assistants may change). It can also be tried during the free trial, within the limit of its conversions (see section 3). For organisations (Enterprise offer): on quotation.
- Tacitum is a tool that assists with anonymisation: no automated tool can guarantee that every item of personal data will be detected. For scanned documents, recognition also depends on the quality of the scan; it is optimised for documents written in French or English, and imperfections may remain. You remain responsible for checking each document before you share it. Tacitum is not legal advice.
3. Free trial
10 free conversions, with no sign-up and no payment method, so that you can evaluate the software before buying. During the trial, the AI Connector can be used without purchase, within the limit of these same conversions: each document validated and sent to the assistant, and each text entered through this channel that contains masked data, uses one.
4. Prices and VAT
Prices are in euros, all taxes included: Tacitum licence €79; AI Connector €69 for one year; Tacitum licence + AI Connector (one year) bundle €148. VAT is not applicable: the seller operates under the French VAT exemption scheme for small businesses (franchise en base de TVA, article 293 B of the Code général des impôts, the French General Tax Code), so no VAT is charged or shown on the invoice. The price that applies is the one displayed when you confirm your order.
5. Ordering, payment and delivery
- You order online on the website (order page); the AI Connector on its own is ordered from within the software (left column, “AI Connector…”) or from the extension link you receive by e-mail. The contract is formed when you confirm your order, after accepting the terms of sale and paying.
- Payment is made online through Mollie B.V. (a licensed payment institution, Amsterdam, the Netherlands); the seller never has access to your full bank details.
- Once payment has been received, you get by e-mail, immediately or as soon as possible, the download link and your licence key (or, for the AI Connector, its end date) and an invoice (issued through the Abby invoicing platform). A business customer who gives its company name, French SIREN or SIRET number and address when ordering (and, where applicable, its intra-EU VAT number) receives an electronic invoice in the name of its organisation. No physical medium is supplied.
6. Right of withdrawal
- Consumers: 14 days in principle. As the software is digital content not supplied on a physical medium, this right ends as soon as you activate the licence: by activating it, you expressly request immediate performance and acknowledge that you lose your right of withdrawal (article L221-28, 13° of the Code de la consommation, the French Consumer Code). As long as the licence has not been activated, you may withdraw within 14 days of purchase by writing to contact@tacitum.tools.
- AI Connector: activated as soon as payment is received; before paying, you tick the box by which you request this immediate performance and acknowledge that you lose your right of withdrawal. If you extend early, you may withdraw within 14 days of payment as long as the new period has not started.
- Business customers: no right of withdrawal, unless otherwise agreed in writing.
7. AI Connector: duration and end
- No automatic renewal: you are never charged without making a new purchase yourself. A reminder is shown in the software and sent by e-mail 30 days and 7 days before the end date, then on expiry (not receiving a reminder does not extend the period).
- When the period ends, the software keeps working normally; only the connection with the AI assistants is switched off.
- If third-party services were permanently discontinued, making the AI Connector unusable with every supported assistant, the remaining period is refunded pro rata, on request; a consumer may also request this refund if an assistant supported at the time of purchase stops being supported.
- During the period purchased, the seller provides the updates needed to keep the AI Connector working with the supported assistants, insofar as their providers allow it; the seller is not responsible if a third-party service becomes unavailable, changes or stops.
- Your use of the assistant itself (account, terms, pricing) is a matter between you and its provider.
8. Guarantees and liability
- Consumers: legal guarantee of conformity for digital content and services (articles L224-25-1 et seq. of the Code de la consommation): 2 years from supply for the software; throughout the period purchased for the AI Connector. Contact: contact@tacitum.tools.
- Business customers: the software is supplied “as is”, to the extent permitted by law; the seller's liability is capped at the amount paid.
- The seller is not liable for a leak resulting from a document you did not check thoroughly enough before sharing it, nor for indirect damage; nothing excludes the seller's liability in the event of fraud (dol), gross negligence (faute lourde) or personal injury.
9. Complaints and mediation
Please write to contact@tacitum.tools first. If you are a consumer and do not receive a satisfactory reply, you may refer the dispute free of charge to the consumer mediator CM2C (49 rue de Ponthieu, 75008 Paris, France; www.cm2c.net/declarer-un-litige.php; litiges@cm2c.net; +33 1 89 47 00 14). The list of approved mediation and out-of-court dispute resolution bodies is available on the European Commission portal: consumer-redress.ec.europa.eu.
10. Governing law and courts
The terms of sale are governed by French law. If you are a consumer habitually resident in a country other than France, this choice does not deprive you of the protection afforded to you by the mandatory provisions of the law of your country of residence (article 6(2) of Regulation (EC) No 593/2008, “Rome I”). If no amicable solution is found, a consumer may bring proceedings, at their choice, before the competent French courts or the courts of the place where they are domiciled; the seller may bring proceedings against a consumer domiciled in another European Union Member State only before the courts of that State (article 18 of Regulation (EU) No 1215/2012). For business customers, the competent French courts have sole jurisdiction.
11. Your personal data (summary of the privacy policy)
- Your documents are never sent to the seller: anonymisation takes place entirely on your computer. Restorable mode (on by default; you can turn it off) keeps a correspondence table that is encrypted and stored only on your computer, deleted automatically and never transmitted. With the AI Connector, your assistant receives only the anonymised text you have checked and approved, plus a few non-identifying indications (anonymised title of each document, format, number of items masked per category); this feature never sends the seller any document content, original file name or real value. That exchange is a matter between you and the assistant's provider (Anthropic for Claude Desktop, OpenAI for Codex Desktop), whose privacy policy applies to the conversation.
- Data processed by the seller (the data controller):
- purchase and licence: name or company, e-mail address, billing address (optional), for a business purchase the SIREN or SIRET number and, if given, the intra-EU VAT number, licence key, technical fingerprint of the Windows session (a technical identifier that does not contain your name), IP address and logs of calls to the licence server (performance of the contract; fraud prevention);
- usage measurement, at each launch: technical fingerprint, edition, free conversions remaining, version, installation channel (legitimate interest; you may object); to check the announcements page, only the version number is sent;
- crash reports: sent only if you click to send them, after you have seen them in full; profile paths and document names are removed (consent);
- updates and language packs (language packs are downloaded only when you ask): requests without any identifier to maj.tacitum.tools (large files are served, by redirection, from OVHcloud object storage in France: io.cloud.ovh.net addresses); the hosting providers see your IP address (technical logs);
- AI Connector: licence key and fingerprint (sent when you buy, extend or refresh it, when you open the purchase window, automatically from 30 days before to 90 days after the end date, at most once a day, and when an assistant calls on the software while the AI Connector is inactive), express consent, invoice e-mail address, order details (amount, date, status, Mollie payment reference), end date and records of the reminders sent; e-mail reminders are based on legitimate interest and you can unsubscribe in one click.
- Recipients: the seller and its technical processors (hosting providers, including OVH; the Abby invoicing platform; e-mail service). Mollie processes bank data as a separate controller. Data is never sold or rented.
- Retention periods: technical logs, usage measurement and crash reports: 12 months at most; licence and billing data: for the duration of the contractual relationship, then archived to meet legal obligations (in particular 10 years for accounting records); AI Connector: purchases and invoices for the duration of the contractual relationship, then 10 years (accounting obligations), end date and records of reminders for the duration of the contractual relationship only, extension links valid for 120 days.
- Your rights (GDPR): access, rectification, erasure, restriction, objection and portability, by writing to contact@tacitum.tools; you may lodge a complaint with the CNIL (the French data protection authority) or with the supervisory authority of your country of residence.
